TERMS AND CONDITIONS FM GROUP WORLD CLUB
(from D.D. 3.10.09 as amended on 01.11.2018)
1.1. Business partner (dealer) – a natural person, legal entity, organizational unit without legal personality, who grant exclusive provisions of jurisdiction, connected with FM WORLD POLSKA or the establishment by a membership agreement of the FM WORLD Club (agreement, partnership agreement);
1.2. FM WORLD POLSKA Business Partner (dealer) – a natural person, legal entity, organizational unit without legal personality, who is entitled by separate provisions to be responsible, in connection with FM WORLD POLSKA or the establishment by an agreement;
1.3. Code of Ethics – a document whose purpose is, inter alia, to establish the standards of ethical conduct of business partners;
1.4. FM GROUP Club (FM GROUP Network, Network) – all business partners;
1.4.1.FM WELT –FM Group World Artur Trawiéski sp.z o.o. sp.k. based in Wroclaw (postcode:51-129) on ul. émigrodzka 247, KRS number: 0000268185, NIP (VAT) number: 895-187-00-93;
1.4.2.FM WORLD POLSKA – the company operating under fm GROUP POLSKA Artur Tawiéski, based in Wroclaw (postcode: 51-129) on ul.emigrodzka 247, NIP (VAT) number: 895-187-00-93;
1.5. FMWORLD Establishment (Establishment) – a non-FM WORLD POLSKA entity that carries out economic activities in the context of the direct sale of FM GROUP products in an MLM system and provides services under a franchise agreement for distribution concluded with FM WORLD;
1.6. Administrator-FM GROUP Mobile Sp. z o.o. with registered office in Wroclaw (postcode: 51-129) opul.migrodzka 247, KRS number: 0000285976, NIP (VAT) Number: 895-188-78-63;
1.7. Marketing Plan - a set of rules which, inter alia, lay down the essential conditions that counterparties must meet in order to achieve a certain level of effectiveness and calculate the remuneration or trade discount for achieving a certain level of effectiveness;
1.8. FM WORLD Products (products) operating under the FM WORLD brand in the context of the FM WORLD trade, including telephone goods;
1.9. Recruit-a Business Partner who has effectively recommended and supported cooperation with FM WORLD POLSKA or the institution to join the FM WORLD Club;
1.10. Terms and Conditions - these FM WORLD Club Terms and Conditions, which are an integral part of the Agreement;
1.11. Sponsor Business Partner, listed directly above another business partner in the Group and as a sponsor on the application for admission to the FM WORLD Club (agreement);
1.12. Telephone goods – FM WORLD products such as telephone SIM cards, prepaid cards or telecommunications service codes, telephones, telephone accessories and other goods related to the supply and use of telephone services;
1.13. Telephone services – telecommunications services operating in the economic cycle under the FM WORLD brand. The telephone line services are provided by the administrator.
1.14. FM WORLD Trademark rights to trademarks and model rights: "FM","FM WORLD", "FM GROUP FOR HOME", "FM FEDERICO MAHORA", "FEDERICO MAHORA", "MAHORA", "MAHORA", "FM GROUP World", "T" and "AurileAurile", owned byFM WORLD, as well as all personal copyright or copyright-related rights to materials that contain the FM WORLD brand and are distributed in all areas of the FM WORLD
1.15. Starter Pack - a set of samples of selected FMWORLD products, with training and promotional materials.
1.16. Application – the application for inclusion in the FM WORLD Club on the form provided by FM WORLD Polska or the FM World Establishment.
The other terms used in these Terms and Conditions should be understood in accordance with the meaning given to them in the Marketing Plan or code of ethics.
FM WORLD Club Membership
2.1. The business partner may be a natural person who is at least 16 years old, a legal person and an organizational unit without legal personality, to which separate provisions grantjurisdiction.
2.2.1.The candidate interested in joining the FM WORLD Club is (before the conclusion of the contract);
1. submit in point 2.2.2 to FM WORLD POLSKA or the institution two copies of the application signed by it. of the General Terms and Conditions; or 2) submit an offer to fm world polska or the establishment for the conclusion of the Agreement by
filling in the online registration form on the website: nl.fmworld.com for FM World Netherlands and be.fmworld.com for FM World Belgium;
3. Send an offer to fm world polska or an FM World Establishment to complete the agreement by sending an e-mail a completed request with the terms and conditions signed by the candidate (until the date of conclusion of the contract, the candidate will receive conditional partner status), subject to clause 2.2.2. purchase a starter package, with the exception of the recipient (customer), and add the starter package number attached to him on request or online registration form.
2.2.2. The establishment of an agreement with a minor may be made on condition that FM WORLD POLSKA or the establishment receive a written declaration of consent from a legal representative for the conclusion. The deadline for notification of the declaration shall be 30 days after the date of expression of the wish to join the FM World Club under point 2.2.1. the manner referred to in the General Terms and Conditions. Until the declaration is sent to fm world polska or the establishment, the minor is treated as a conditional partner, which means that he can buy the products or use the discount up to an amount of 125 euros.
2.3. A conditional partner is granted the right to order products or to sponsor new candidates for business partners, including that the recipient (customer) cannot be a sponsor. A conditional partner cannot become a seller or advertiser. He/she is also not entitled to an A-discount.
2.4. A conditional partner is obliged to designate two copies of the application signed by him or by pressing the activation link sent to the e-mail address specified in the request within 30 days of sending the application by e-mail to FM WORLD POLSKA or the institution. If the above term expires without a response, the conditional FM WORLD Club membership ends..
2.5. Both FM WORLD POLSKA and the establishment have the right to refuse entry into the contract if (a) the period of 6 months after the termination of membership, as mentioned in Section
5.8 of the General Terms and Conditions, has not yet expired;
(b) the potential counterparty is already bound to FM WORLD POLSKA or the establishment under an agreement if the agreement with him/her has been terminated due to the violation of the provisions of the agreement, the marketing plan; the Code of Ethics or other rulesthatapply within the network, or if the potential business partner would have participated in another company if an owner, his partner, shareholder, were an owner, its partner, its shareholder, a member of the Board of Directors, supervisory or supervisory bodies or other organs of the company bound by an AGREEMENT with FM WORLD POLSKA or the Company and which had been terminated with that company for breach of the terms of the Agreement and had been terminated with that company.
(d) the potential business partner uses false personal data;
(e) the potential business partner has not given written consent to the conclusion of the agreement by its legal representative.
2.6. The candidate may at the same time be only a party to the agreement with FM WORLD POLSKA or entity immediately. However, a business partner wishing to enter into an agreement with another branch may terminate the contract and have the opportunity to continue its activities while retaining the original partner number if this intention has been clarified in writing in the notice of termination and then an application for an agreement with another branch or FM WORLD POLSKA has been submitted and the agreement is therefore concluded within 14 days of the submission of the notice of termination.
2.7.1. A business partner may have only one partner number at a time, unless the terms and conditions or the marketing plan provide otherwise.
2.7.2. In the event that an additional or additional number has been assigned to a Business Partner in accordance with the Terms and Conditions or the Marketing Plan, they may be sponsored at any location designated by the Business Partner within its Sales Partners, which means that a certain additional number will receive up to 4999.99 of its own points for a particular additional number. However, in particularly justified cases arising from the need to maintain the balance of the FM World Club structure, FM WORLD POLSKA or the establishment shall have the right to determine a different value of the restriction as set out in the preceding sentence.
2.7.3. The restriction referred to in clause 2.7.2 of the General Terms and Conditions does not apply to numbers that the business partner has managed under an agreement based on point 5.10.2 of the General Terms and Conditions, nor to numbers acquired by the business partner as a result of the acquisition of the structure referred to in point 5.10.1 of the Terms and Conditions.
2.8. Business partners who are partners in a trading partnership and who have submitted a written application for a common number before 01.01.2014 shall be treated as a single business partner, which means in particular that they are debtors in relation to their call call obligations and are roll-call creditors in relation to their claims.
2.9.1. The rights and obligations of a business partner cannot be transferred to another person and may not be transferred to third parties.
2.9.2. However, the rights and obligations of a business partner may be transferred to another person if one of the partners of a company or a civil partnership requesting the issue of a common number is no longer a party to the contract or partner of the undertaking. In this case, the remaining partners will continue to operate in the economic field, using the number to which all partners are entitled but to which they must notify FM WORLD POLSKA or the establishment within 14 days of the conclusion of a particular business partner of that company, for sanctions for suspension of FM World Club membership of the original number of the partnership or the partnership granted a common number until this matter has been resolved by FM WORLD POLSKA or the establishment, subject to section 3.1.9. of the General Terms and Conditions.
2.9.3. The rights and obligations of a business partner may also be transferred to another entity in the event of a transfer.
2.9.4. It is permissible to inherit rights and obligations under the Agreement. The cumulative conditions under which the heirs acting under the general rights and obligations of the deceased business partner under the contract are:
(a) the contract with fm WORLD POLSKA or a fortress providing for this circumstance by that counterparty. The content of this agreement shall include, in particular, the heiress who has the right to act under the deceased business partner's number on behalf of all heirs. As regards the obligations relating to this 'no' vote, the heirs of the deceased business partner are joint debtors and, in relation to their claims, they are roll-call creditors, in the same relationship in which they inherit from the deceased business partner,
b) the heirs fm WORLD POLSKA or the institution shall send the final decision on the succession of the deceased business partner or a certificate of succession after the deceased business partner. Pending the delivery of the necessary documents by the heirs to FM WORLD POLSKA or the establishment, the number of the deceased business partner shall be treated as a temporarily suspended business partner, subject to section 3.1.9 of the General Terms and Conditions.
2.10. By joining the FM World Club, fm Polska's business partner or business partner agrees to receive only benefits from FM WORLD Polska or the establishment, from the General Terms and Conditions, the Marketing Plan, the Code of Ethics or agreements linking FM Polska's business partners or business partners with FM WORLD POLSKA or the Establishment. FM WORLD POLSKA or the subsidiary do not guarantee FM Polska's business partners or business partners any specific income, profits or achievements as a business partner of FM Polska or business partners by agreeing to the terms of these Terms and Conditions, note that the benefits they enjoy under FM World Club membership depend in particular on the commitment and activity of a particular business partner or business partner of FM Polska.
Principles and conditions of activity in FM WORLD Club
3.1. General Principles
3.1.1. FM WORLD POLSKA or the Establishment distributes products exclusively for the benefit of business partners. The administrator offers FM WORLD telephone line services and distributes FM WORLD telephone line goods exclusively for fm world POLSKA's business partners world or the branch office.
3.1.2. A business partner buys FM WORLD POLSKA products and the partner pricing department.
3.1.3. A business partner of FM WORLD POLSKA may also use the telephone line services by entering into a telephone connection contract with the administrator. The terms and conditions for entering into and executing the agreement with the administrator are set out in separate administrator terms and conditions.
220.127.116.11. The business partner receives points for the purchase of the listed products or from FM WORLD POLSKA or the establishment.
18.104.22.168. If your purchase goes hand in hand with the purchase of points, the payment for telephone lines or telephone lines and the calculation conditions of these points shall be determined and determined in separate terms and conditions of the Administrator.
22.214.171.124 In the absence of payment of the mentioned products or lack of payment for telephone lines or telephone systems, if the purchase is coincidental with the acquisition of points, the business partner of FM WORLD POLSKA or the branch office will not receive any points.
3.1.5. If, despite the occurrence of the situation referred to in point 3.1.4., a business partner of FM WORLD POLSKA or a branch point have been awarded to a business partner of FM WORLD POLSKA or a branch point, FM WORLD POLSKA or the branch office has the right to correct the points awarded by the business partner, in particular by reducing the points charged to that business partner. In the event that COMPENSATION is paid or a discount granted to the counterparty on the basis of an unfounded calculation of points in the manner referred to in this form, referred to in this form, FM WORLD POLSKA or the establishment shall have the right to demand reimbursement from that counterparty of the unjustified compensation or the unjustified rebate granted.
3.1.6. Points are calculated after the funds are entered on the VAT invoice for the purchase of the bank account referred to in point 3.1.4 of the General Terms and Conditions.
In exceptional and duly justified cases, points will be charged at the time of decommissioning after the money has been booked by the forwarding agent, forwarder or other agency with which FM sends WORLD POLSKA or the operating products and facilities to which the delivery of the products is transferred to the business partner.
3.1.7. In the case of non-supplied products within the time limit, which results from the agreement between the business partner and FM WORLD POLSKA or vestging for reasons of FM WORLD POLSKA, the forwarding agent, forwarder or any other body with which FM sends WORLD POLSKA or the operating products, as well as the bodies entrusted with the delivery of the products to the business partner, fm world polska or the establishment, calculates points to this business partner in the month in which they would have to be charged to that business partner in the month in which they would have to be charged to that business partner.
126.96.36.199. As a result of the purchase of FM WORLD products, points are awarded to the business partner if, however, he pays the full price for FM WORLD POLSKA or the operating products within a certain period of
time, subject to clause 188.8.131.52. of the General Terms and Conditions;
(b) pay the full price of the purchased telephone goods and telephone line services within a specified period of time, subject to point 184.108.40.206.of the General Terms and Conditions;
(c) the ordered telephone system is dispatched with cash on delivery, subject to clause 220.127.116.11.of the General Terms and Conditions;
(d) the full price for fm WORLD POLSKA or operating products is paid as a advance payment for the controlled goods, subject to section 18.104.22.168. of the General Terms and Conditions.
22.214.171.124. After such consent has been given by fm Polska's business partner or business partner, Polska FM WORLD POLSKA or the establishment shall be entitled to provide electronic invoices to these companies.
126.96.36.199. Points for the purchase of telephone systems or telephone line services for a fee via FM WORLD POLSKA can only be accepted by an FMWORLD POLSKA business partner.
3.1.9. During each year as a business partner of FM WORLD POLSKA or branch or business partner (i.e. in the following 12 months after the conclusion of the contract and then every 12 months after the conclusion of the contract), the partner must make at least one purchase of products with a point value. In the case of a business partner of FM WORLD POLSKA or the branch office, the points may also be the result of the acquisition of telephone line services by him, if the acquisition of points is coincidental to the acquisition of points. If no point-scoring product is purchased during the above period, access to the partner zone of the FM WORLD POLSKA website or facility will be restricted and the possibility of sponsoring or recommending new business partners will be blocked;
3.1.10. If one of the effectiveness levels specified in the marketing plan is achieved, the right to a discount (user or recipient) or remuneration (seller or inserent) is granted by the marketing plan or at FM WORLD POLSKA or the branch, depending on whether the business partner has entered into an agreement with FM WORLD POLSKA or the branch office.
3.1.11. Depending on the status, the Business Partner will receive the right to a discount or refund in respect of certain partner numbers for a given month by purchasing points-scoring products in the number specified by the respective marketing plan in that month. In the case of an FM WORLD POLSKA business partner or branch office, the number of points required may also come from his purchase taking into account telephone line services, if the purchase involves the purchase of the points.
3.1.12. If the operation grants points to an FM WORLD POLSKA business partner or the location, they form the basis for calculating fm world POLSKA's business partner or setting up a trade discount or remuneration by FM WORLD POLSKA or the branch office as granted by FM WORLDKA POLSKA or the branch office. In the event that points have been awarded by the establishment in breach of the principles set out in the preceding sentence, the granting of the trade rebate or compensation shall only be liable for the establishment which granted the points.
188.8.131.52. The business partner is obliged to collect the shipments with the products ordered by him in good time and to pay the full price of the products purchased by FM WORLD POLSKA and the company within the specified period, to pay the amount due for this and to refund or, in the case of a consumer, to bear the direct costs of returning the products. If a counterparty who has chosen a consumer delivers the goods in a manner other than the cheapest normal delivery offered by the trader, the trader is not obliged to reimburse the consumer for the additional costs incurred by him. A detailed overview of these costs is the subject of a separate scheme. FM WORLD POLSKA or the branch office has the right to offset or reduce the above costs with the fee due to the business partner of FM WORLD POLSKA or the branch office.
184.108.40.206. The non-collection of a shipment containing the ordered products and thus their return to FM WORLD POLSKA or the branch office are considered as withdrawal by FM WORLD POLSKA or the preparation of the purchase contract for the returned products – without having to make a separate declaration in this context. However, if a shipment with the ordered products is not picked up and thus returned to FM WORLD POLSKA or the establishment as a result of the conclusion of an agreement with a consumer, that circumstance is deemed to be a presentation of a declaration by the consumer within the meaning of Article 30 member of the date of consumer rights 30 May 2014 (Polish State Gazette of 2014, item 827, coordinated version of the date 9 March 2017, State Gazette of 2017, item 683). FM WORLD POLSKA or the establishment has the right to refuse to execute an order from a business partner that has violated the principles set out in the first sentence of the preceding terms and conditions.
3.1.14. The business partner may not be an employee, representative or agent of FM WORLD, FM WORLD POLSKA, the administrator or the establishment, nor is he/she representative of any of these parties by another party, unless such parties have expressly provided for this in writing. As a result, it has no right to carry out activities, in particular obligations, on behalf of and on behalf of FM WORLD, FM WORLD POLSKA, the administrator or the establishment. The Business Partner may not use terms or names that indicate or indicate that he is an employee, authorized, executive or other person acting on behalf or on behalf of FM WORLD, FM WORLD POLSKA, the Administrator or the Establishment.
3.1.15. In the case of direct sales of products and the provision of advertising services in connection with the products of the network and the FM GROUP as well as in the advertising of products, the business partner may use FM WORLD Brands only in accordance with the principles agreed with FM WORLD POLSKA. The use by a business partner of FM WORLD Brands without such an agreement is prohibited.
3.1.16. The business partner is obliged to: receive its customers information about the FM WORLD network and the availability, prices, characteristics of fm World products and FM WORLD telephone line services in a fair manner and in accordance with the data of FM WORLD POLSKA, the establishment or the administrator, which are contained in the current information, advertising and promotional materials created by FM WORLD POLSKA, the branch or the administrator, taking into account the fact that the products were original goods provided by FM WORLD and the telephone service provided by the administrator. The company should not mislead the buyers of telephone line products or services.
3.1.17. The business partner is obliged torefrain fromany activities that could damage the reputation of FMWORLD, FM WORLD POLSKA, the establishment or the administrator, as well as the products or FM WORLD telephone line services, in particular by disseminating information that could harm FM WORLD, FM WORLDPOLSKA, the establishment or the administrator, in particular as a result of the unlawful use of the names of their products and the dissemination of false information about FM WORLD, FM WORLD The Business Partner may not use the Network and activities and FM WORLD Club membership for promotions, marketing, advertising, sale of third-party products or services, or other entities, organizations (whether they act formally or informally).
3.1.18. The business partner selling FM World Products may not do so in shops, kiosks, stalls, other fixed, organised retail stores through internet auctions or otherwise that violates the rules of direct sale.
3.2. Principles for business partners with different statuses:
3.2.1. The business partner may carry out activities in the FM WORLD Network, such as:
a) Seller,i.e.a business partner who concludes an agreement with FM WORLD POLSKA or the branch for the direct sale and provision of advertising services in the context of the direct sale of products and the provision of advertising services of the FM WORLD network and its products. The agreement cannot be concluded with a conditional partner; Within the scope of the advertising services for the FM WORLD Network and its products, the seller is only entitled to compensation.
(b) Advertiser,i.e.a business partner who is a natural person whopurchases products for self-interest use and provides advertising services related to the network and products that do not engage in economic activities in this context, when he enters into a fee agreement for the provision of advertising services with FM WORLD POLSKA or the establishment. The agreement cannot be concluded with a conditional partner. The advertiser may become a business partner who has received a minimum fee in the amount specified in the Advertising Services Disclosure Agreement. The fee contract for the provision of advertising services may be terminated by FM WORLD POLSKA or the establishment if the business partner does not receive compensation to the amount specified by FM WORLD POLSKA or the establishment. In the context of the advertising services provided in relation to the network and the products, the advertiser is only entitled to compensation.
(c) Recipient (customer),i.e. a business partner who, together with the application, declares that he will only purchase products for his own use (or the use of his loved ones). The purchase of a starter package by the potential business partner who wants to receive recipient status is not required. The essential condition under which the recipient (customer) can obtain seller, advertiser or user status is, in addition to the conclusion of an agreement or the preparation of a corresponding declaration, the purchase of a starter package. The recipient (customer) is only entitled to a trade discount.
(d) The user,i.e.a businesspartner, is a natural person who does not engage in economic activities and concludes an agreement. This means, in particular, that the application is also considered as an explanation that the candidate will buy products for his own use as well as the use of his family members or friends. The user is only entitled to a trade discount.
3.2.2. Business partner as a natural person who purchases products remotely, not in relation to their professional or economic activity, may withdraw from the purchase contract within 14 days from the date of receipt of the shipment with the ordered products, starter packages or other materials. The revocation declaration shall be sent in writing and before the expiry of the 14-day period specified in the preceding sentence. The business partner returns the goods to which the revocation applies to FM WOLD POLSKA within 14 days and bears the costs directly related to the return of the goods. All products charged to the business partner and all other FM WORLD Network users on the basis of the sale of the productscalculated under theabove revocation will be deducted from the number of points they collect. The adjustment of the remuneration or the trade discount of these business partners in connection with the revocation of the purchase contract and the return of the goods by the business partner takes place in the month in which FM WORLD POLSKA or vesteging receive the revocation of the purchase contract. If negative points are calculated to the business partner as a result of the correction of the points, FM WORLD POLSKA or the institution have the right to pay the unjustified calculated remuneration or trade discount. The above right of withdrawal applies only to products purchased by fm WORLD POLSKA's business partner or the subsidiary.
The system of measures relating to the breach of the obligations of a business partner
4.1. In the case of a business partner, which violates the principles of the General Terms and Conditions, the Marketing Plan, the Code of Ethics or other applicable operating principles of the Network, as established by FM WORLD POLSKA or the branch office, is announced and known to the business partners or does not comply with the obligations assumed, FM WORLD POLSKA or the entity shall have the following rights:
4.1.1. the business partner of the right torob or deprive new business partners definitively or for a certain period oftime, as stated in the content of the notice;
4.1.2. the legal relationship which obliges the business partner to terminate (suspend) for a period of up to 6 months. The termination means that the possibility of purchase from FM WORLD POLSKA or the and in the case of an FM WORLD POLSKA business partner or branch also denies the possibility to To receive points below the purchased telephone line goods and to receive telephone line services under complaint, as well as the suspension of the advertising services provided up to that date for FM WORLD POLSKA or the subsidiary in relation to the FM WORLD Network and its products, in connection with which the suspended business partner cannot obtain compensation or commercial discount during the suspension period;
4.1.3. Termination of the contract and other contract that binds the relevant business partner with FM WORLD POLSKA or the branch without complying with the notice period and deleting the business partner from the database if the business partner has the provisions of clause 3.1.-11.-3.1.18. of the General Terms and Conditions,
4.2. has violated the General Terms and Conditions of Section II-IV of the Code of Ethics.4.1.4. has violated the right to participate in training courses, courses and meetings organised by FM WORLD POLSKA, the Establishment, Administrator or FM WORLD, and the lack of the right to participate in training, courses and meetings organised by FM WORLD, the establishment, the administrator or FMWORLD have been announced to participate in motivation programs;4.2.The rights described above may also be carried out in relation to a business partner who takes actions that result in another business partner being obliged to terminate the contract linking him or the company in order to cease operations in his current group. activities in another group, as well as other legal acts in the field of unfair competition or the law to combat unfair market practices.
Termination of FM GROUP Club Membership
5.1. A business partner may terminate the contract in accordance with a one-week notice period by making a declaration in the form specified by law, which will come into force at the end of a calendar month.
5.2.FM WORLD POLSKA or the branch office may terminate the contract with a business partner for essential reasons, taking into account a one-week notice period from the end of the month. Substantial reasons are deemed to be a violation of the principles set out in Section 3.1.11.-3.1.18. of The General Terms and Conditions 4.2. the General Terms and Conditions of Point II-IV of the Code of Ethics. In the event that the contractual partner is an entrepreneur within the meaning of Article 431 of the Civil Code, the above-mentioned important reason shall not give in.
5.3. The business partner who has entered into an agreement with FM WORLD POLSKA or the branch office may revoke it at any time with immediate effect by a written unilateral declaration of intent. Within 14 days of the submission of the revocation declaration, the will to cancel on behalf of FM WORLD POLSKA or the institution may conclude a resale contract for resale at 90% of the purchase price it purchased in the six months prior to the revocation: products and launch packages and other information instructions, promotional materials, samples, presentation and promotional sets, but subject to their return in the condition that allows resale or use in accordance with their destination. The party withdrawing from the contract shall at the same time repay the discount or fee received in connection with the purchase of the goods returned to FM WORLD POLSKA or the establishment as a result of the revocation. At the same time, the discount or the fee or points received by the participants of the FM WORLD network in connection with the purchase of the products received in the context of the revocation by the business partner will be corrected.
